What is Registry of Companies?
The Companies Registry has played an integral part in the development of the Cayman Islands as a highly ranked financial centre in the international business community. The registration and control of companies is governed by the Companies Law, the Limited Liability Companies Law and the Foundation Companies Law. Its administration is conducted by the Registrar of Companies and staff. The shareholders or members of companies may have limited or unlimited liability.

Advantages of registering a company in the Cayman Islands include the following:

** Ability to form a company with only one shareholder, with no minimum capitalization requirements.
** Tax neutrality – there are no corporation, capital gains, payroll, property or withholding taxes on any type of company, domestic or foreign.
** Privacy – there are well-established mechanisms for co-operation with law enforcement agencies, both locally and overseas, to assure the highest standards of probity throughout Cayman’s financial industry.
** Within this framework, protection of the legitimate interests of clients is safeguarded. The Registrar is able to release on enquiry only the name, type of company, the date of registration, the address of its registered office, and the status of the company.
** Except where assistance to law enforcement agencies to combat illicit activity is mandated or authorized, disclosure of information by government officials, professional agents, attorneys and accountants and their staffs is prohibited.
** The range of purposes for which a Cayman company can be used includes investment, sales processing, trading, shipping operations, stock dealing, real estate holding, the ownership and licensing of patents, international financing, mutual funds, insurance, securitization, structured finance and aircraft finance.

Can the public access the register of members of a company from the Registry?
The public does not have access to the register of members from the office of the Registrar. However, the register of members of any company, except an exempted company, may be inspected by any person at its registered office subject to the provisions of the Companies Act and reasonable restrictions as the company may impose.
What changes to directors’ particulars should be filed with the Registrar?
The Registrar shall be notified of all changes in the directors & officers including:
** New Appointments
** Resignation/Removal
** Change of name
** Change of address
Which certificates are available to resident (local) companies?
Certificates of Good standing, Incorporation, Existence, Incumbency (Directors & Officers) & Shareholders may be purchased on CBP. Certificates of change of name, may be purchased from the Registry upon application through GRmanual@gov.ky
What documents should be filed when a new director or officer is appointed?
Every company is required to keep at its registered office a register containing the names and addresses of its directors, including alternate directors, and officers, and shall:
** Send a copy of such register to the Registrar within sixty days of the first appointment of any director or officer of the company; and
** Notify the Registrar of any change in such directors or officers including a change of the name of such directors or officers, within thirty days of any such change.
For local companies without a CSP as its registered office:
** Register of directors & officer reflecting the new director/officer
** Valid government-issued photo ID
** Resolution appointing director/officer
Can a non-Caymanian be a director of a company?
A non-Caymanian can be a director of an ordinary resident company. However, as required under the Local Companies (Control) Act, where business is to be carried out in the islands, at least 60% of its directors should be Caymanian.
