Step 1 – Reservation of a company name :
A Company Name Reservation is regulated by Companies Act Cap :42:01.

The following steps must be undertaken to reserve a Company Name :
** Complete Form 1 (you may check if the names that you suggest are not already taken by searching then in our database)
** Indicate the type of a proposed company to be registered.
** If a company is a private company, the word “Proprietary” shall be added before the word ” Limited”.
** If a company is a Public Company, the word, ” Limited” should be added.
** For a Close Company, a designation “CC” shall be added at the end of the proposed name.
** If a company to be registered is a company limited by guarantee no designation should be added to the name.
** The Registrar of Companies shall respond in writing within five (5) working days from the date the application was received.
** An application for the reservation of a company name shall be presented at a fee of BWP20.

The reserved name shall be valid for a period of 30 working days. Failure to present the required registration forms within the stipulated time, the proposed name shall be deemed invalid.

The Registrar is mandated to examine names and the following conditions may lead the Registrar not to give the name :
** the use of words which would contravene the Banking Act, (For example, the word money, bank, financial and its derivatives) or any other enactment;
** that is identical or almost identical to, the name of a registered company, or to a name registered under the Registration of Business Names Act;
** that is identical or almost identical to a name that the Registrar has already reserved;
** that in the opinion of the Registrar, is calculated to mislead the public or cause offence to a person or is suggestive of blasphemy or indecency.

Other names that shall not be registered except with the Ministers consent are those that include the following : (Section 33)
** Authority
** Commonwealth
** Co-operative
** Gorvenment
** National
** President
** Presidential
** Regional or State

Step 2 – Registration of a company :
** A Company Limited by shares : private company / public company
** A Close Company
** A Company limited by Guarantee

NB : Upon the approval of the Company Name please proceed to register either a company limited by shares (private or public), a company limited by guarantee or close company.
